EnerTech Scale Up Platform ("the Platform") is operated by EnerTech Scale Up ("EnerTech Scale Up", "we", "us", "our"), a UAE-based EnerTech investment and project orchestration company registered at Block B-B47-105, SRTIP (Sharjah Research Technology and Innovation Park), Sharjah, United Arab Emirates.

The Platform is an invite-only, curated digital catalog connecting vetted EnerTech startups and scaleups with investors, project developers, and ecosystem partners across the UAE and GCC. Access to the Platform is granted at EnerTech Scale Up's sole discretion following review of each access request.

By registering on the Platform or submitting any information through the Platform, you ("the User") agree to be bound by these Terms and Conditions and Privacy Policy ("Terms"). If you do not agree to these Terms please do not proceed with registration.

2.1 The Platform is available to the following categories of user:

• Investors and funds (including venture capital, private equity, family offices, and sovereign funds)
• Startups and scaleups seeking investment or UAE market entry
• Ecosystem partners (including corporates, EPC contractors, operators, and project developers)

2.2 Registration does not guarantee access. EnerTech Scale Up reviews all access requests and may approve or decline any application without providing reasons.

2.3 Users must be at least 18 years of age and must have the authority to represent the company or entity on whose behalf they are registering.

2.4 EnerTech Scale Up reserves the right to suspend or revoke access at any time if a user is found to have provided inaccurate information, to be acting in bad faith, or to be in breach of these Terms.

3.1 Startups and scaleups approved for listing on the Platform ("Listed Companies") grant EnerTech Scale Up a non-exclusive, royalty-free licence to:

• Create, publish, and display a company profile on the Platform based on information provided by the Listed Company
• Reproduce the Listed Company's name, logo, tagline, sector description, and summary information within the Platform and in EnerTech Scale Up marketing and presentation materials used to promote the Platform to investors and ecosystem partners
• Share the Listed Company's profile and summary information with Platform members who have been granted approved access

3.2 The licence granted in Clause 3.1 does not extend to:

• Sharing the Listed Company's pitch deck, financial projections, or detailed commercial information with any third party without the Listed Company's prior written consent
• Using the Listed Company's name or brand in any external advertising, press release, or public communication without the Listed Company's prior written approval
• Modifying or creating derivative works from the Listed Company's intellectual property

3.3 Listed Companies retain full ownership of all intellectual property submitted to the Platform including pitch decks, presentations, financial models, and technical documentation.

3.4 EnerTech Scale Up will treat all pitch decks and supporting materials submitted by Listed Companies with duty of care. Such materials will only be shared with specific named investors or ecosystem partners as part of a facilitated introduction. EnerTech Scale Up will not share pitch decks or other materials with third parties for any other purpose.

3.5 Listed Companies are responsible for ensuring that all information submitted to the Platform is accurate, complete, and not misleading. EnerTech Scale Up is not responsible for verifying the accuracy of information provided by Listed Companies.

3.6 EnerTech Scale Up reserves the right to remove a company profile from the Platform at any time, including where:

• The information provided is found to be inaccurate or misleading
• The Listed Company requests removal
• The Listed Company no longer meets the Platform's eligibility criteria
• EnerTech Scale Up determines in its sole discretion that the listing is no longer appropriate

3.7 If EnerTech Scale Up ceases to operate the Platform or removes a Listed Company from the Platform for any reason, EnerTech Scale Up will delete or return all data and materials submitted by that Listed Company within thirty (30) days of such cessation or removal.

4.1 Investors and ecosystem partners approved for Platform access may browse Listed Company profiles and request introductions facilitated by EnerTech Scale Up.

4.2 Introduction requests are reviewed by EnerTech Scale Up before any connection is made. EnerTech Scale Up does not guarantee that any introduction request will result in a meeting, transaction, or commercial relationship.

4.3 Investors and ecosystem partners agree not to contact Listed Companies directly using information obtained from the Platform without first going through EnerTech Scale Up's introduction process. Any investor or ecosystem partner found to have contacted a Listed Company directly using Platform-sourced information, in breach of this clause, may have their Platform access revoked and may be liable to EnerTech Scale Up for a facilitation fee reflecting the value of the introduction made.

4.4 Investors and ecosystem partners agree to treat all Listed Company information accessed through the Platform — including profiles, pitch decks, and any materials shared during a facilitated introduction — as confidential and not to share such information with third parties without EnerTech Scale Up's prior written consent.

5.1 EnerTech Scale Up is not a licensed financial advisor, investment manager, investment broker, or regulated financial institution. Nothing on the Platform constitutes financial advice, investment advice, or a recommendation to invest in any company or project.

5.2 EnerTech Scale Up acts solely as an introducer and ecosystem facilitator. Any investment or commercial decision made by a Platform user is made entirely at that user's own risk and on the basis of their own independent assessment and due diligence.

5.3 EnerTech Scale Up makes no representation or warranty regarding the financial condition, commercial viability, or investment potential of any Listed Company. Users should conduct their own independent due diligence before making any investment or commercial commitment.

5.4 Being listed on the Platform does not constitute an endorsement by EnerTech Scale Up of any Listed Company's technology, business model, financial projections, or investment merits.

6.1 EnerTech Scale Up makes reasonable commercial efforts to facilitate introductions between Platform members but does not guarantee:

• That any Listed Company will receive investor introductions or commercial approaches
• That any investor will find suitable investment opportunities on the Platform
• That any introduction will result in a transaction, partnership, or commercial engagement
• Any specific timeline for profile creation, introductions, or platform activity
• The continued availability or uninterrupted operation of the Platform

6.2 EnerTech Scale Up's obligations to Listed Companies are limited to creating and publishing a company profile on the Platform and making reasonable efforts to facilitate relevant introductions. No further obligations are implied.

7.1 Users agree not to:

• Submit false, misleading, or fraudulent information to the Platform
• Use the Platform to contact other users for purposes unrelated to the Platform's stated purposes
• Reproduce, distribute, or commercialise any content from the Platform without EnerTech Scale Up's prior written consent
• Attempt to circumvent the Platform's introduction process by contacting Listed Companies directly
• Use artificial intelligence or automated tools to scrape, extract, or replicate Platform content or user data
• Use the Platform in any way that violates applicable UAE law or regulation

7.2 EnerTech Scale Up reserves the right to remove access and delete account information for any user found to be in breach of Clause 7.1.

8.1 To the fullest extent permitted by applicable law, EnerTech Scale Up shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from:

• A user's reliance on information published on the Platform
• Any investment or commercial decision made on the basis of Platform content or introductions
• The accuracy or completeness of any Listed Company's profile or submitted materials
• Any failure or interruption of the Platform's availability

8.2 EnerTech Scale Up's total aggregate liability to any user in connection with the Platform shall not exceed AED 1,000 (one thousand UAE dirhams). This cap applies equally regardless of whether a claim is brought by a Listed Company, investor, or ecosystem partner. EnerTech Scale Up is not responsible for any loss or damage arising from inaccurate, misleading, or fraudulent information submitted to the Platform by a Listed Company.

9.1 Data We Collect

When you register on the Platform we collect the following personal and company data:

• Full name
• Work email address
• Company name and website
• Sector, stage, and investment purpose
• Role type (investor, startup, or ecosystem partner)
• Any additional information voluntarily submitted in the registration form
• Pitch deck and supporting materials submitted by startups

9.2 How We Use Your Data

We use the data collected to:

• Review and process your access request
• Create and publish your company profile (for Listed Companies)
• Facilitate introductions between Platform members
• Send you platform-related communications including access confirmations, profile notifications, and introduction requests
• Improve the Platform and understand how it is being used
• Comply with applicable legal and regulatory obligations

9.3 Legal Basis for Processing

We process your personal data on the following legal bases under UAE Federal Decree Law No. 45 of 2021 on Personal Data Protection (PDPL):

• Your explicit consent given at the point of registration
• The performance of our agreement with you to provide Platform access and services
• Our legitimate interests in operating and developing the Platform

9.4 Data Sharing

We will not sell, rent, or transfer your personal data to third parties except in the following circumstances:

• To facilitate a specific introduction you have consented to, in which case only the relevant summary information is shared with the specific named counterparty
• To our technology service providers (including Supabase for database hosting and Resend for email delivery) who process data on our behalf under appropriate data processing agreements. These providers may process data on infrastructure located outside the United Arab Emirates. Where data is transferred outside the UAE, EnerTech Scale Up takes appropriate measures to ensure such transfers comply with applicable UAE PDPL requirements, including ensuring that receiving parties maintain equivalent standards of data protection.
• Where required by applicable UAE law, regulation, or court order

9.5 Data Retention

We retain your personal data for as long as your Platform access remains active. If you request removal from the Platform or your access is revoked, we will delete your personal data within 30 days, except where retention is required by applicable law. EnerTech Scale Up is committed to ensuring its data systems are configured to execute this deletion obligation within the stated timeframe.

9.6 Data Breach Notification

In the event of a personal data breach, EnerTech Scale Up will notify the UAE Data Office and any affected users within 72 hours of becoming aware of the breach, to the extent required by applicable UAE PDPL obligations. EnerTech Scale Up will take prompt remedial action to contain and mitigate the effects of any breach.

9.7 Your Rights

Under UAE PDPL you have the right to:

• Access the personal data we hold about you
• Correct inaccurate personal data
• Request deletion of your personal data
• Withdraw your consent to processing at any time
• Lodge a complaint with the UAE Data Office

9.8 Data Security

We implement appropriate technical and organisational measures to protect your personal data against unauthorised access, loss, or disclosure. Our Platform data is hosted on Supabase infrastructure with industry-standard encryption at rest and in transit.

9.9 Cookies

The Platform may use cookies and similar tracking technologies to improve user experience and understand Platform usage. You may disable cookies in your browser settings but this may affect Platform functionality.

10.1 All content on the Platform created by EnerTech Scale Up — including but not limited to the Platform design, structure, text, and graphics — is the intellectual property of EnerTech Scale Up and may not be reproduced without prior written consent.

10.2 EnerTech Scale Up and EnerTech Scale Up Platform are trading names of EnerTech Scale Up. Users may not use these names or any associated branding without EnerTech Scale Up's prior written approval.

11.1 EnerTech Scale Up reserves the right to amend these Terms at any time. Material changes will be communicated to registered users by email with not less than fourteen (14) days' notice. Continued use of the Platform following notification of changes constitutes acceptance of the revised Terms.

11.2 The current version of these Terms is always available at enertechscaleup.com/terms.

12.1 These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.

12.2 Any dispute arising out of or in connection with these Terms shall first be referred to good faith negotiation between the parties. If unresolved within 20 business days, the dispute shall be referred to mediation under the ADGM Arbitration Centre rules. If mediation fails, the dispute shall be resolved by binding arbitration under the ADGM Arbitration Centre rules with a sole arbitrator, seated in Abu Dhabi, United Arab Emirates.
